SOPARFI: A Luxembourg Holding Company

What is a SOPARFI?
A SOPARFI (société de participations financières) is a Luxembourg company, typically an S.à r.l. or SA, whose principal activity is the holding of participations. It is not a distinct legal form but a tax label. It requires neither a business licence nor CSSF supervision; registration with the trade register and the tax authorities is sufficient.
Why is it used?
As a fully taxable company, a SOPARFI benefits from Luxembourg's network of double tax treaties and the relevant EU directives. It is therefore widely used as an investment holding company for international investments.
Tax exemptions
Conditions, all together: at least 10% holding or €1.2 million acquisition cost, held for at least 12 months, subsidiary taxed at a comparable rate of at least 8%.
Conditions, all together: at least 10% holding or €6 million acquisition cost, held for at least 12 months, subsidiary taxed at a comparable rate of at least 8%.
The exemption applies where the corporate shareholder is resident in the EU or a treaty country and has held at least 10% of the SOPARFI (or an acquisition cost of €1.2 million) for at least 12 months. Otherwise, 15% is withheld; individual shareholders may benefit from treaty rates. Liquidation proceeds and interest are generally not subject to withholding tax.
Why does substance matter?
To benefit from these exemptions, the company must be effectively managed from Luxembourg, with board meetings held, key decisions taken and corporate records kept in Luxembourg. EU anti-avoidance measures, including the interest limitation and controlled foreign company (CFC) rules, also apply to SOPARFIs.
Structures often confused with a SOPARFI
The SPF (société de gestion de patrimoine familial) is a vehicle for individuals holding financial assets. It is exempt from corporate income tax and, as a result, cannot benefit from double tax treaties. Investment funds such as RAIFs and SICAVs raise capital from third-party investors and are subject to a separate regulatory framework.
